Preparation of agreements for a state enterprise during construction of the world’s first Floating Atomic Power Stations
The Law Group “Yakovlev & Partners” in cooperation with the Independent Consulting Group “2Ê Audit – Business Consulting” have prepared draft agreement on termination of agreement on construction and delivery of the floating power block for the minor capacity atomic thermal station. The agreement was concluded between the state enterprise (the Customer) and the major ship building complex in the Russian Federation (the Contractor)*.Specialists of our company have also prepared draft agreements on substitution of the party to manufacturing and delivery contracts concluded by the Contractor with the third parties within the basic agreement. The lawyers of commercial practice and the practice “Land-Real Estate- Construction” have made legal expertise of agreement between the Customer and Contractor in terms of performance of contract obligations by the parties for its subsequent termination, legal and accounting analysis of agreements on placement of orders for manufacturing and delivery of materials and equipment for construction of power block, development of construction documentation, products manufacturing and delivery. The given analysis has shown that the use of some services was not justified, since they cause rise in price of input and raw materials. Our lawyers also took part in the working meetings of the Customer and Contractor negotiating the terms of termination of agreement.
As a result of such activities the state enterprise has concluded a three-sided agreement on substitution of the party under agreements. Subsequently, in February 2009, a contract on erection and testing of the floating power block was concluded between one of the ship building plants and OJSC and its assembly has been successfully started.
